1. Why AI is now a board-level governance question
AI is not new. What is new is the scale and speed with which it is being embedded into:
- Core products and services
- Customer journeys and sales channels
- Risk, pricing and credit decisions
- Operations, workflows and workforce tools
At that point, AI stops being an “innovation topic” and becomes platform risk:
- A source of concentrated operational, conduct and reputational risk
- A driver of capital allocation – into platforms, data, partnerships and capabilities
- A lens for regulators, investors and customers assessing trustworthiness
Boards cannot and should not try to “do AI” themselves. But they are accountable for ensuring that AI is governed as part of the broader risk, capital and operating architecture of the organisation.
The challenge is to exercise that oversight without freezing innovation or pulling every AI decision into the boardroom.
2. From pilots to platforms: how the risk profile changes
Many organisations are still in mixed mode: a few production AI systems, plus a long tail of pilots, proofs of concept and experiments.
From a board perspective, the key shift is recognising when AI moves from isolated experiments to embedded infrastructure.
2.1 Pilot mode
Characteristics:
- Limited scope, lower stakes
- Often ring-fenced datasets and users
- Governance routed through innovation or technology teams
Board focus:
- Strategic learning – where could AI create value?
- Guardrails for experimentation – what is out of bounds?

2.2 Platform mode
Characteristics:
- AI systems embedded in core processes and decisions
- Reliance on external models, platforms and ecosystems
- Scale effects: one defect or misuse can impact many customers at once
Board focus:
- Systemic risk – how AI failures interact with other parts of the architecture
- Regulatory exposure – data protection, consumer outcomes, model risk, conduct
- Resilience – concentration on a small number of providers, models or data sources
- Capital and productivity – whether investments are genuinely creating value
Governing AI at board level is fundamentally about managing this transition from pilots to platforms deliberately, not by drift.
3. Five responsibilities for boards on AI
3.1 Anchor AI in strategy and capital allocation
Boards should be able to answer:
- Where does AI matter most in our strategy – revenue, cost, risk, resilience, customer experience?
- How much capital (cash, people, management attention) are we deploying into AI-related initiatives across the portfolio?
- How do AI investments compare to alternative uses of capital?
This requires a portfolio view of AI initiatives, not a scatter of one-off presentations.
3.2 Define risk appetite and guardrails
AI does not introduce entirely new categories of risk; it amplifies existing ones (conduct, data, fraud, algorithmic bias, operational resilience).
Boards should:
- Approve a clear AI risk appetite, aligned with broader risk appetite statements.
- Insist on minimum control standards for AI in high-impact areas (e.g. credit, pricing, personal data, safety).
- Ensure that model risk management and validation capabilities are scaled to AI use, not just traditional analytics.
The aim is to set boundaries, not design controls in detail.
3.3 Oversee data, ethics and regulatory alignment
AI systems are only as sound as the data, assumptions and incentives that shape them.
Boards should seek assurance that:
- Data governance is robust – clarity on data sources, quality, lineage and permissions.
- There is a structured approach to ethics and fairness, appropriate to the organisation’s footprint.
- Regulatory developments (for example, around AI, data and digital markets) are actively monitored and translated into operating changes, not just legal memos.
Boards don’t need to arbitrate every ethical nuance, but they should ensure there is a functioning system that can escalate issues.
3.4 Clarify accountability and talent
AI blurs lines between technology, product, risk, operations and HR.
Boards should ensure:
- Clear executive ownership for AI, ideally through a small group (e.g. CFO/CRO/CTO/CHRO) rather than a single “AI champion”.
- Accountability for outcomes is not outsourced to vendors or models – it stays with the organisation.
- The leadership team has enough depth of understanding to engage meaningfully with AI topics, even if they are not technical experts.
This may require targeted board education and independent advice on specific topics.
3.5 Challenge ecosystem and third-party risk
Many AI capabilities are delivered through third parties – cloud providers, foundation models, SaaS platforms, integrators.
Boards should ask:
- Where are we concentrating dependency on a small number of AI or data providers?
- How do contracts and technical architectures support portability, exit and resilience?
- How are we assessing and monitoring AI-related risk in our supply chain and partners?
AI ecosystems can accelerate innovation, but they also introduce new single points of failure.
4. A practical governance framework: five questions for every board AI discussion
Rather than long checklists, boards benefit from a small set of recurring questions:
1. Value – What problem are we solving or what opportunity are we pursuing with AI? How does this show up in our P&L, balance sheet or risk profile?
2. Architecture – Where does this AI capability sit in our broader strategy, capital and operating architecture? What does it depend on and what will depend on it?
3. Risk & Controls – What could go wrong at scale? How do we detect, prevent and respond? Who owns remediation if something fails?
4. People & Adoption – How will this change how people work and decide? What are we doing about skills, roles and incentives?
5. Time & Adaptation – How will we review this over time? What thresholds would cause us to change course, pause or decommission?
Used consistently, these questions help boards move AI conversations from hype and fear to governable decisions.
5. A 12–24 month agenda for boards and leadership teams
Step 1 – Establish a baseline view (0–6 months)
- Commission a portfolio-level map of AI use: pilots, in-production systems, third-party dependence.
- Identify where AI is already involved in high-impact decisions (risk, pricing, eligibility, safety, sensitive data).
- Compare current AI activity against existing risk, data and model governance frameworks.
Step 2 – Set direction and minimum standards (6–12 months)
- Approve an AI strategy note – where AI is expected to create value and where it will not be used.
- Define AI risk appetite and guardrails, including prohibited use cases.
- Align AI governance with key committees (risk, audit, technology, remuneration, sustainability).
